Subject: DCU Board Meeting Minutes
As a DCU shareholder I would like to bring to your attention my
dissatisfaction with the minutes of recent DCU Board of Directors
meetings that are published to the membership.
For minutes of BOD meetings held prior to June 1993 subjects discussed
during Executive Session were noted. Of course the contents of those
discussions was not recorded. Since June 1993 the subjects of
discussion are no longer listed. I would like to request that the
previous norm of listing Executive Session subjects be reinstated. I
feel it is important for the shareholders of the DCU to know the
subjects of discussion at board meetings. I'd also ask you and the
board as a whole to think long and hard before moving a board meeting
from General Session to Executive Session.
In addition I am concerned that of late a large proportion of the BOD
meetings are held under Executive Session. I feel this tends to give
the impression, hopefully false, that the DCU Board of Directors is
not striving to conduct their business in as open a way as possible.
It concerns me when what should be the forum that sets the long term
strategy for the DCU is increasingly being held behind closed doors.
How can the membership of the DCU make informed decisions in future
elections about who it would to represent them when all the important
decisions are made in Executive Session away from the scrutiny of the
membership?
I would appreciate a reply addressing my concerns and questions.
